Affiliate Agreement



This Affiliate Agreement ("Agreement") is entered into between Mitsooz, LLC ("Company") and the affiliate ("Affiliate") as of the date of acceptance into the Mitsooz Affiliate Program ("Program").

  1. Program Participation:

    • Affiliate agrees to promote Company's products and services through approved marketing channels in accordance with Company's guidelines.

  2. Commission Structure:

    • Affiliate will earn a commission on qualifying sales generated through unique affiliate links.
    • All referrals are subject to reversal in the event of a refund, partial refund, or cancellation with restocking fees applied.

  3. Payment Terms:

    • Commissions will be paid out on a regular schedule, typically monthly, via the preferred payment method specified by the Affiliate.
    • Minimum payout thresholds may apply.

  4. Promotional Guidelines:

    • Affiliate agrees to promote Company's products ethically and accurately, adhering to all applicable laws and regulations.
    • Affiliate shall not engage in deceptive, misleading, or spammy promotional tactics.

  5. Tax Responsibility:

    • It is the responsibility of the affiliate to declare and pay any taxes on the commissions earned through the Mitsooz Affiliate Program in accordance with applicable tax laws and regulations.

  6. Brand Representation:

    • Affiliate agrees to represent Company's brand positively and professionally, maintaining brand integrity and upholding its reputation for quality and sophistication.

  7. Termination:

    • Either party may terminate this Agreement at any time, with or without cause, upon written notice to the other party.
    • Company reserves the right to terminate the Affiliate's participation in the Program for violation of the Agreement or Company's policies.

  8. Confidentiality:

    • Affiliate agrees to keep confidential any proprietary information provided by Company, including but not limited to commission rates and customer data.

  9. Indemnification:

    • Affiliate agrees to indemnify and hold harmless Company from any claims, damages, or liabilities arising from Affiliate's participation in the Program.

  10. Modification of Terms:

    • Company reserves the right to modify the terms of this Agreement and the Program at any time, without prior notice.

  11. Governing Law:

    • This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].

By participating in the Mitsooz Affiliate Program, Affiliate agrees to abide by the terms and conditions of this Agreement. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings relating to the subject matter hereof.
